ALYT MOBILE APPLICATION END USER LICENSE AGREEMENT Version 1.0 | Effective: September 6, 2026 This End User License Agreement ("EULA") is a legal agreement between you and Fizzify Inc. ("ALYT", "we", "us", "our") for the ALYT mobile application for iOS and Android (bundle/package identifier: com.alyt.home) ("App"). BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE APP. =============================================================================== 1. LICENSE GRANT =============================================================================== Subject to your compliance with this EULA, Fizzify Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a mobile device you own or control, for your own personal, non-commercial, household use. You may not: - sell, rent, lease, sublicense, distribute, or otherwise transfer the App or your license to it; - modify, adapt, translate, or create derivative works based on the App; - reverse-engineer, decompile, or disassemble the App, except to the limited extent applicable law expressly permits despite this restriction; - remove, obscure, or alter any proprietary notice, trademark, or attribution contained in the App; - use the App for any commercial purpose without a separate written agreement with us. =============================================================================== 2. COMPATIBILITY =============================================================================== The App is designed for iOS and Android devices meeting the minimum operating system version stated in the App Store or Google Play listing at the time of download. We do not guarantee compatibility with every device or operating system version, and compatibility requirements may change with future App updates. =============================================================================== 3. DISTRIBUTION PLATFORM TERMS =============================================================================== The App is distributed through the Apple App Store and Google Play. Your use of the App is also subject to: - the Apple Media Services Terms and Conditions and App Store Terms of Service (for iOS); - the Google Play Terms of Service (for Android). Where those platform terms conflict with this EULA regarding your relationship with the platform itself (as opposed to with us), the platform's own terms govern that aspect. Neither Apple Inc. nor Google LLC is a party to this EULA as between you and us, except as expressly stated in Section 19 below. =============================================================================== 4. PERMISSIONS THE APP REQUESTS =============================================================================== The App requests the following device permissions. Each is used strictly for the stated purpose; we do not use a permission beyond what is described here without updating this EULA and our Privacy Policy first. Local Network Used to discover and control devices on your home Wi-Fi network (for example, Sonos speakers and Wi-Fi-connected lights). Microphone Used for press-to-talk voice commands. Recording occurs only while you are actively holding the microphone control in the App, and stops the instant you release it. Camera Used specifically to scan and read the serial number printed on a new ALYT device during setup, so you do not have to type it by hand. This is a one-time scan during device onboarding; the camera is not used for any ongoing recording, monitoring, or live-view feature as of this EULA's effective date. Bluetooth Used to set up a brand-new ALYT hub that does not yet have a Wi-Fi connection: your phone connects to the hub directly over Bluetooth and transmits your Wi-Fi network name and password to it, so that information is not sent over the air unencrypted. Push Notifications Used to deliver alerts (device status changes, routine results, and similar events) to your device even when the App is not open. The App does NOT request, and does not use, location services, access to your contacts, your calendar, your photo library, or health/fitness data, as of this EULA's effective date. If this changes, we will update this EULA and our Privacy Policy before the change takes effect, and the App Store / Google Play listing's own permission disclosure will be updated to match. You may deny any permission; doing so may limit the corresponding feature of the App but will not prevent you from using the rest of it. =============================================================================== 5. UPDATES =============================================================================== We may release updates to the App at any time, which may add, change, or remove features. You are not obligated to install every update, but an outdated version of the App may stop functioning correctly, or at all, if it becomes incompatible with current servers. =============================================================================== 6. ACCOUNT REQUIRED =============================================================================== Using the App requires an ALYT account. You must: - provide a valid email address; - be at least 18 years old, or the age of majority in your jurisdiction if higher; - keep your password and any multi-factor recovery codes confidential. Account-level terms, and how to delete your account, are governed by our Terms of Service and described in full at https://alyt.com/legal/delete-account.html. =============================================================================== 7. DATA COLLECTED THROUGH THE APP =============================================================================== The App transmits data to ALYT's servers to operate the Service, including account information, device configuration and state, voice audio and/or transcripts (only if you use voice features, and only as described in our Privacy Policy), notification and push registration data, and diagnostic/crash information. OFFLINE BEHAVIOR =============================================================================== The App caches recent data locally so you can view your home's last known state without a network connection. While offline: - previously loaded device state remains visible, labeled with its age (for example, "as of 12 minutes ago"); - new commands cannot be sent, and device state cannot be refreshed; - voice features are unavailable, since voice processing requires reaching your home's hub over the network. =============================================================================== 9. VOICE FUNCTIONALITY =============================================================================== If you use voice commands through the App: - your speech is recorded only while you hold the microphone control, and is sent to your own home's hub to be processed; - whether that processing stays entirely on your hub, or is partly routed to cloud inference, depends on your household's own settings (off by default for cloud reasoning); - you are solely responsible for making sure everyone who may be recorded by the App's voice features — household members, guests, anyone present — has consented as required by the law that applies to you. =============================================================================== 10. THIRD-PARTY INTEGRATIONS =============================================================================== The App may let you connect third-party services (for example, Sonos, Ring, or Amazon Alexa). You are responsible for complying with each such service's own terms, securing the credentials you provide, and understanding that service's own data practices, which this EULA does not govern. =============================================================================== 11. NO WARRANTY =============================================================================== THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: - the App will be uninterrupted, timely, or error-free; - every device command sent through the App will succeed; - voice recognition or AI-generated responses will be accurate; - automations will execute exactly as configured; - the App will be compatible with every device, integration, or third-party service, now or in the future. Some jurisdictions do not permit the exclusion of certain implied warranties, so some of the exclusions above may not apply to you. =============================================================================== 12. NOT A LIFE-SAFETY OR PROFESSIONAL SECURITY SYSTEM =============================================================================== THE APP, AND THE ALYT HARDWARE AND SERVICE IT CONNECTS TO, ARE NOT A PROFESSIONALLY MONITORED SECURITY SYSTEM, ALARM SERVICE, OR EMERGENCY COMMUNICATION SYSTEM. - We do not monitor your home continuously on your behalf. - We do not contact police, fire, or medical services on your behalf. - We do not guarantee detection of, or a timely response to, any safety-relevant event. - A software or hardware failure could result in a missed alert, a failed automation, or an unintended device state, any of which could contribute to property damage, injury, or death. Do not rely on the App or ALYT hardware as your sole safety or security measure. Use certified, professionally monitored systems for anything genuinely safety-critical. =============================================================================== 13. LIMITATION OF LIABILITY =============================================================================== TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR: - loss of data, device state, or account configuration; - failed or incorrect commands or automations; - interruption of service; - failures of third-party integrations; - any indirect, incidental, special, or consequential damages of any kind. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP (CURRENTLY FREE OF CHARGE), OR (B) ONE HUNDRED U.S. DOLLARS ($100). Nothing in this EULA excludes or limits liability that cannot be excluded or limited under applicable law. =============================================================================== 14. PERMITTED USE / RESTRICTIONS ON CONDUCT =============================================================================== You agree to use the App only for legitimate home automation, monitoring, and control purposes consistent with our Acceptable Use Policy (https://alyt.com/legal/acceptable-use.html), and specifically agree not to use the App to stalk, harass, or threaten anyone; record anyone without legally required consent; violate anyone's privacy; conduct unlawful surveillance; attack other networks or systems; or violate any applicable law. Violation may result in suspension or termination of your account and, where warranted, referral to law enforcement. =============================================================================== 15. INTELLECTUAL PROPERTY =============================================================================== The App, its design, source code, trademarks, and content are owned by Fizzify Inc. or its licensors. You retain ownership of content you create within the App (for example, your own automation definitions); you grant us a license to store and process that content solely to operate the Service for you, as described in our Privacy Policy. =============================================================================== 16. TERMINATION =============================================================================== We may suspend or terminate your access to the App if you violate this EULA, our Terms of Service, or our Acceptable Use Policy. You may stop using the App at any time by uninstalling it; deleting your underlying ALYT account is a separate step, described at https://alyt.com/legal/delete-account.html. =============================================================================== 17. EXPORT COMPLIANCE =============================================================================== You may not use or export the App in violation of U.S. export control or economic sanctions law. You represent that you are not located in, or a national or resident of, any country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties. =============================================================================== 18. GOVERNING LAW =============================================================================== This EULA is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles, except to the extent a mandatory consumer-protection law of your own jurisdiction requires otherwise. =============================================================================== 19. THIRD-PARTY BENEFICIARIES (APPLE AND GOOGLE) =============================================================================== You acknowledge that this EULA is concluded between you and Fizzify Inc. only, and not with Apple Inc. or Google LLC. Fizzify Inc., not Apple or Google, is solely responsible for the App and its content. To the extent this EULA states a warranty, that warranty is provided solely by Fizzify Inc., and Apple and Google have no warranty obligation whatsoever with respect to the App, except that, where an applicable law requires it, the relevant platform may refund the purchase price of the App to you (if any was paid). Apple Inc. and Google LLC, and their respective subsidiaries, are third-party beneficiaries of this EULA, and, upon your acceptance of its terms, each will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary. =============================================================================== 20. CHANGES TO THIS EULA =============================================================================== We may update this EULA. For material changes, we will provide at least 30 days' notice by email and/or a notice within the App before the change takes effect. Your continued use of the App after that point constitutes acceptance. =============================================================================== 21.
